Terms and Conditions

Use of Proplanner Software as a Service

The terms and conditions under which Proplanner is willing to provide you with access to Proplanner services can be accessed HERE, and will constitute a legally enforceable agreement governing your use of the Proplanner services when you use the application.  

Privacy Policy

Any information you provide to Proplanner or which we collect about you is subject to our Privacy Policy. More information about how Proplanner collects, uses, shares, and secures your information can be accessed HERE.

Ownership of Intellectual Property

Proplanner regularly reviews and implements configuration and accelerated development requests by customers. 

In many cases, Proplanner or its partners may charge an ongoing maintenance fee to ensure that these configurations are supported as future Proplanner, Microsoft, and other integrated vendor applications evolve. For the avoidance of doubt configurations specific to the customer or created by the customer at all times remains property of the customer.

Proplanner’s accelerated development services involve modification to the core software application to provide enhanced functionality.  Since Proplanner’s product suite is a Commercial Off The Shelf (COTS) application, any modification which is performed on the application immediately becomes available to all subscribers.  As such, Customer acknowledges that, as between Customer and Proplanner, Proplanner owns all right, title, and interest, including all intellectual property rights, in and to the software, processes, and documentation (“Provider IP”).  All Provider IP shall be deemed to be Confidential Information of Proplanner. Proplanner shall be the owner of any and all right, title and interest (including without limitation, all Provider IP) in, of and to any Derivative Works under any applicable Copyright and not deemed a “work for hire.”

If Customer, its Authorized Users or any of its other employees or contractors sends or transmits any communications or materials to Proplanner by mail, email, telephone, or otherwise, suggesting or recommending changes to the Provider IP, including without limitation, new features, corrections, modifications or functionality relating thereto, or any comments, questions, suggestions, or the like (collectively, “Feedback”), Proplanner is free to use such Feedback irrespective of any other obligation or limitation between the Parties governing such Feedback.
